Terms & Conditions

These Terms and Conditions (hereinafter referred to as the “Terms”) are entered into between GIDEON ONE COMPANY LIMITED and its affiliates (hereinafter collectively referred to as the “Company”), as a platform owner providing website, application, products and other services such as API webpage, messaging apps communication (hereinafter collectively referred to as “Platforms”) and the “Users” who would like to access all materials or content on the Company’s Platforms.
If the Users do not agree with the Terms, either partly or wholly, the Users will not be able to access the Company’s Platform. Therefore, in acknowledgement to be legally bound under the Terms, the Users must read, understand, and agree as follows:

Company’s Services

(1) The Company as a platform owner and service operator is responsible for providing the Users to access the Platforms. The relationship between the Users and the Company are not a partnership, joint venture, employment, or agency hereunder.
(2) The Company provides services related to Greenhouse Gas (GHG) emission management for organisation or products including but not limited to (i) carbon footprint calculation (ii) GHG emission reporting (iii) GHG mitigation strategies (iv) purchase of carbon credits (v) renewable energy certificates (vi) managing other related information such as carbon footprint for organisation, access control solution, GHG emission factors, etc.
(3) The Company will act with the best effort to use reliable sources when creating content on the Platforms. However, the Company will not be under obligation to verify the accuracy, correctness and completeness of the content appeared on the Platforms and will not be responsible for any damages arising from the use of such content. Therefore, the Users should exercise discretion when using content on the Company’s Platforms. The most importantly, the Users should verify the accuracy of the content and/or information on the Platforms form the relevant agencies such as Thailand Greenhouse Gas Management Organisation (Public Organisation) (TGO), Department of Climate Change and Environment (DCCE), Intergovernmental Panel on Climate Change (IPCC), Science Based Target Initiative (SBTi) and others.

The use of Services

(1) To access the information on the Platforms, the Users must refrain from engaging in any activities that violate applicable laws, breach contracts or agreements, infringe upon intellectual property, including breach any announcements made by the Company. In addition, the Users must refrain from engaging the aforementioned activities to other Users.
(2) The Users will not act any activities that interfere, damage, or destroy the Company’s system or lead to the disruption of the Company’s Platform, whether in whole or in part.
(3) The Users will not engage in any activities that can be considered as a cyber-crime against the Company or other Users including but not limited to Malware, Ransomware, Phishing, Man-in-the middle attack, Distributed Denial of Service (DDOS). The Users also refrain to engage in any actions prohibited by the relevant laws such as Computer-Related Crime Act, Personal Data Protection Act (PDPA), Cyber Security Act and others.
(4) When using services through the Company’s Platforms, the Users must have suitable computer equipment, electronic devices, software systems, internet connectivity, as well as an appropriate environment for utilising the Company’s services.
(5) In the event that a password must be set for the purpose of protection user account form unauthorised access and identification, the Users are responsible to keep their passwords in secret. In addition, when setting up a password, the password must be difficult to guess.
(6) In the event that any unauthorised person accesses to do any activities on Company’s Platform by encrypting the User’s password, The company will consider such activities to have been undertaken by the User.
Therefore, if the Users found that the password has been lost, stolen, used by others without consent or authorisation, the Users must promptly notify the company.

Intellectual Property

(1) The company owns the intellectual property, including but not limited to computer programs, software, data, scripts, codes, designs, graphics, photographs, audio, video, applications, the content on the Platforms, trademarks, inventions, process, and product designs.
The intellectual property of the Company is protected under the relevant laws such as Copyright Act, Patent Act. Trademark Act, Service Mark Act or Trade Name Act.
(2) The Users must not infringe upon the intellectual of the Company in any actions such as reproducing, modifying, copying, duplicating, either in whole or in part, and the Users must not use the Company’ intellectual property for commercial purposes, unless expressly authorised by the company in writing.

Amending the Terms

The Company reserves the right to amend the Terms without prior notification to the Users. The Users are responsible for regularly monitoring and reviewing any amended Terms. In addition, the Users acknowledge that to continue use of the Company’s Platform is attributable to implicitly accept of any additional or amended Terms.

Limitation of Liability

(1) The information or content displayed on the Company’s Platforms is sourced by reliable sources. The company act with the best effort for creating such information or content and disseminating to the Users. However, the Company does not expressly or impliedly certify that the information or content displayed on the Platforms is accurate or up to date. Therefore, the company will not be responsible for any direct or indirect damages against the Users arising from using such information or content.
(2) The Company reserves the right to not be liable for any damage incurred by the Users as a result of the instability of the computer systems, networks, computer viruses through the use of the Company’s Platforms.

Right to accessibility

(1) The Company reserves to modify, add or amend the Company’s Platforms including information and/or content on the Platforms as necessary. Therefore, during periods when the Company is undertaking the aforementioned actions, it may impact on the Users’ right to access the Company’s Platforms.
(2) The Company reserves the right to reject or limit accessibility of some Users or some IP address without providing the reason in doing such actions.

Connecting website application or other databases to Third parties

(1) The Company may provide connectivity or integration with third parties’ websites, applications, services and/or devices. Third parties are not supervised or controlled by the Company. The purpose of the connectivity and integration is to provide the information and to facilitate for the Users only. Hence, the Users must be aware that these third parties’ websites, applications, service, and/or devices may be controlled with the Terms and Conditions and Privacy Policy of such third parties. The Users have to understand and accept that the Company is not related and responsible for the content or information displayed on third parties’ websites, applications, services, and/or devices.
(2) When the Users connect to third parties’ websites, applications, services and/or devices, it is a risk of potential harm to the Users solely. The company will not be liable for any damages arising from the information, products or services offered on the third parties’ websites that connect to the Company’s Platforms. 
Moreover, the company does not provide any certification, guarantee or advice about product or service information, which is displayed on the third parties’ website. Thus, the Company will not be liable for any defects, faults, or breaches of contract related to any products or services displayed on the third parties’ websites, applications, services and/or other devices. 
(3) The Company has no obligation, contract, or agreement with Third parties’ websites, applications, services and/or devices. Therefore, in the event that the Users connect to the websites, applications, services and/or devices of the third parties, the Users will be subject to the Terms and Conditions of those third parties.

Connecting website, application, or other databases to the Company’s Platforms

The Company is not involved with other websites, applications and/or databases that connect to the Company’s Platforms (Such as developing APIs or customer databases that will be connected to APIs provided by the Company). The Company will not be responsible for accuracy of the content displayed on such websites, applications and/or database.

Collection, gathering usage and disclosure of the personal information

(1) The Users certify that the personal information provided through the Company’s Platforms is accurate. The Company will collect, gather, use and disclose such information for business purpose and framework of the law. 
(2) The Users agree and accepts that the personal information that provides to the Company may be used and disclosed to other parties in accordance with the business purpose and the Company’s Privacy Policy. Such personal information may include username, address, IP address, email, website usage information and etc.  
(3) If the Users would like to utilise services on the Platforms of the Company, the User has to provide necessary personal information for such services. 
(4) By registering for using services or providing any information through the Company’s Platforms, the Users are considered to have read and agreed to allow the Company to send useful information about the Company’s products or services. 
(5) The Users can learn more details and their related rights from the Company’s Privacy Policy and Cookie Policy on the Company’s website.

Termination of the Terms, Access Limitations and Prohibitions

(1) The company reserves the discretion to terminate the Terms or revoke the right to access the information on the Company’s Platforms, whether in whole or in part at any time without the cause for termination or prior notification to the Users.
(2) The Users will not use the Company’s Platforms for unlawful activities or as a tool for such activities that may cause damage to the Company or other Users such as disrupting of Company’s Platform, hacking or password mining.

Applicable Law

These Terms shall be governed by, construed, interpreted, and enforced in accordance with the laws of Thailand without regard to the conflict of law principles.
